01 Agreement
These terms govern your access to and use of Flowaxio services. By signing an order form, creating an account, or using our website, you agree to be bound by these terms.
02 Our services
Flowaxio provides third-party logistics services including receipt, storage, pick & pack, dispatch, returns processing, kitting, and related software and dashboards.
Service-specific commitments (SLAs, integrations, pricing) are described in your order form and the schedules referenced in it.
03 Your responsibilities
- Provide accurate product, weight, hazard and customs data for every SKU.
- Ensure inbound shipments are properly labelled and arrive within booking windows.
- Keep your contact and billing details current.
- Use our platform and APIs in accordance with the documentation we provide.
04 Charges and payment
Charges are set out in your order form. Invoices are issued weekly, on Mondays, for the prior week of activity. Payment is due within 14 days by direct debit or bank transfer.
Late payments accrue interest at the US Prime Rate plus 4% per annum.
05 Limitation of liability
Subject to applicable law, our total liability in any 12-month period is capped at the fees paid by you to us in the prior 12 months.
Neither party is liable for indirect or consequential loss, loss of profits, or loss of goodwill.
06 Term and termination
Either party may terminate on 30 days written notice. We may suspend services immediately for non-payment or material breach.
On termination you will be invoiced for outbound shipping of any remaining stock at standard rates.
07 Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. The state and federal courts located in Wilmington, Delaware have exclusive jurisdiction over any dispute arising from these terms.
